As announced on April 27th, Grande Portage Resources Ltd. (GPG - VSE) and the Anglo Adriatic Investment Fund SH.A. (collectively referred to as the "Purchasers") on April 25th, signed a Letter of Intent with the Ministry of Public Economy and Privatization of the Republic of Albania (the "Ministry") granting the Purchasers a six month exclusive period to negotiate the acquisition of the Fier fertilizer complex. The Letter of Intent also stipulates that the Ministry and Grande Portage will jointly identify and acquire additional sources of natural gas for industrial development.
The Letter of Intent confirms the parties' intent that gas produced from the Delvina gas field and operated by Grande Portage will be supplied via the existing pipeline to the Fier complex. The parties to the agreement intend to execute a final agreement implementing the objectives of the Letter of Intent within a six month period. While attending the reception hosted by the Ministry to mark the signing of the Letter of Intent, the chairman of the Anglo Adriatic Investment Fund SH.A., Mr. Declan Ganley, stated - "This is a positive defining moment in the roll-out of Albania's privatization process. It sends an important signal to the international investment community on the progress of economic development in Albania." In March of this year, Grande Portage entered into a Heads of Agreement with the state owned oil and gas company, Albpetrol SH.A., for the joint development of the Delvina gas field. Specific details of the proposed Joint Operating Agreement ("JOA") were announced by Grande Portage on April 27th. The Letter of Intent signed on April 25th also specifies that the Government contemplates the sale of its 50% interest in the Delvina field to both Grande Portage and Anglo Adriatic Investment Fund SH.A. In past years, the Fier fertilizer complex was one of Albania's primary and most profitable industries but due to a lack of natural gas feed, the complex ceased operations in 1994. Gas production from Delvina will change this. An independent consultant's report financed by USAID concluded that capital costs to rehabilitate the operation and commence commercial production at Fier would cost US$ 3.8 million. The Purchasers under the Letter of Intent have a six month period to jointly arrange project financing. Mr. A.T. Griffis, Chairman of Grande Portage, stated that - "The company's long term objectives in Albania are to secure proven gas resources, enhance these assets, secure a long term contract with an end-user and source new commercial oil and gas fields for production. The latest two agreements with the Government go a long way towards meeting these objectives in what has been a relatively short period of time." Mr. Griffis went on to state that the company is in the process of assembling an experienced management group to conduct operations in Albania as well as raising the necessary equity capital to meet the fiscal obligations required for development of both the Delvina gas field and the Fier fertilizer plant. Grande Portage's commitments under the JOA for the development of the Delvina gas field and the acquisition of the Fier fertilizer complex will both be subject to regulatory approvals. In support of its obligations in Albania, Grande Portage will retain the services of two independent consulting groups to prepare evaluations of each project. | its simple Kipelovo is one a several large companies in Volograd, not the biggest company in Russia nor was it ever!!
2 The Russians were still using an airbase in 2àà" for military purposes, this airbase Ganley claimed to own in 1995. He also said that the base was abandoned. Doesn't add up does it? |
